These terms are an agreement between you (or the organization you represent) and Naughty Robot LLC, doing business as Mich Software, a limited liability company registered in Washington State, United States.
By downloading, activating or using Mich, you agree to these terms. If you are agreeing on behalf of an organization, you confirm you are authorized to do so.
When you purchase a license, we grant you a perpetual, non-exclusive, non-transferable right to install and use Mich for your own or your organization's purposes.
The license covers the major version you purchased. Updates within that major version are included for as long as we release them. A future major version is a separate purchase — your existing license does not expire when one is released, and you are never obliged to upgrade.
The boundary is the major version number. A license for version 1 covers every 1.x release — 1.0.0, 1.4.2, 1.9.9 and any other — up to but not including 2.0.0. The first release of the next major version is where your license stops.
If you install a version your license does not cover, Mich tells you so and applies the free-version limits. Nothing happens to your data. You can reinstall a version your license covers and carry on as before, or purchase the new major version.
Mich is licensed, not sold. We keep ownership of the software itself.
Mich is free to download and use for as long as you like. There is no trial period, nothing expires, and no payment method or sign-up is required.
The free version is the complete application. It is limited only in how much it will hold:
A license removes those limits. Nothing else changes — the free version and the licensed version are the same software.
This is unusual enough to state plainly, because it works in your favor.
The limits apply only to creating new records. Whatever you have already entered stays fully available: you can open your database, read and edit every record, delete records, run reports, and back up and restore your data.
That matters if a license ends or you move it to another computer, because your database may then hold more records than the free limits allow. This is expected and supported. Mich will not ask you to delete anything, and it will never stop you reaching your own information. We think holding your data hostage would be an indefensible way to sell software, so the product does not do it.
When importing a spreadsheet, Mich shows you before you confirm how many rows will be imported and how many exceed the limits, so nothing is written that you were not told about.
Mich is activated online with a license key and is then tied to the computer you activated it on. It checks in periodically in the background to confirm the license is still valid, and continues to work normally between those checks. If Mich cannot confirm the license for an extended period, the free version's record limits apply until it can. Your data is not affected, and full use returns as soon as the license is confirmed again. The current interval is stated in the FAQ.
To move to a different computer, open About → License and choose Deactivate first, which frees the license, then activate on the new machine. If the old machine is lost or unusable, contact us and we will release it for you.
Sharing a license key beyond the permitted machine, or attempting to bypass activation, is a breach of these terms.

Everything you record in Mich stays in a database file on your computer, encrypted with a master password you choose. Your data is yours. We have no copy of it and no access to it.
That has a consequence you must understand before you rely on Mich:
Your master password cannot be recovered. It is never stored — not in the file, not in a settings file, not on any server. If you lose it, your database and every backup of it are permanently unreadable, by you and by us. We cannot reset it, work around it, or retrieve your records. Please write it down and keep it somewhere safe.
Backups are equally your responsibility. Mich provides backup and restore tools and verifies each backup it writes, but choosing to take backups, and keeping them somewhere sensible, is down to you.
Mich relies on LicenseSeat for license activation, and purchases are sold and processed through Stripe and Link as merchant of record (see section 8). Two optional features contact other services only if you switch them on: address verification (which queries OpenStreetMap) and email delivery (which uses an email provider account you supply).
Those services have their own terms, and we are not responsible for how they operate. What each one receives is described in our Privacy Policy.
There are two relationships here, and it is worth being clear about which is which.
Your license to use Mich is with us, Naughty Robot LLC. Everything else in these terms — what you may do with the software, what happens when a license ends, support — is between you and us.
The purchase itself is sold through Link, a Stripe service, acting as the merchant
of record. That means Stripe is the seller on the transaction: it takes the payment,
issues your receipt and invoice, and is responsible for calculating, collecting and remitting
any sales tax, VAT or GST due where you are. Your card statement will show
LINK.COM* MICH APP — the Link prefix followed by our name — which is normal and
not a duplicate charge.
Prices are shown on our pricing page in US dollars and are exclusive of tax; any tax due is added at checkout. You may be offered the price converted into your local currency.
We may change our prices at any time, but a change never affects a license you have already bought.
You may request a refund within 30 days of purchase, either from us or from Link support, which handles transaction questions as merchant of record. The details are in our Refund Policy, which forms part of these terms. The free version is the complete application, so you can try Mich with your own data before you buy.
We may release updates within your major version. Mich never installs an update by itself. When you choose to update, Mich can download the installer for you — it saves it to your Downloads folder and checks it against the checksum we publish — but nothing is installed until you run it yourself.
Support for the software itself is provided by us, by email at support@michmeansgift.com. We aim to be helpful and prompt, but we do not offer a guaranteed response time. Questions about the payment, your receipt or your order are handled by Link support as merchant of record, though you are welcome to write to us either way.
We own Mich, its source code, its design and its documentation. You own the data you put into it. Nothing in these terms transfers ownership of your data to us, or ownership of the software to you.
Any document templates you supply remain yours; any templates we ship with Mich may be used and modified freely for your organization's own documents.
Mich is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the software will be uninterrupted or error-free, or that it will meet your particular requirements.
Mich is not accounting, tax or legal software and does not provide professional advice. It records and produces documents from the information you give it. What a receipt must say, how a gift should be treated, and what your organization must report are questions for your own accountant or adviser.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
To the fullest extent permitted by law, our total liability arising out of or relating to Mich or these terms is limited to the amount you actually paid us for the license in question.
We are not liable for indirect, incidental, special or consequential damages, or for lost profits, lost data, lost donations or business interruption, even if we have been advised that such damages are possible.
Nothing in these terms excludes liability that cannot lawfully be excluded, and some jurisdictions do not allow these limitations, so parts of this section may not apply to you.
You may stop using Mich at any time. Your license ends if you materially breach these terms — for example by redistributing the software or circumventing activation.
If your license ends for any reason, Mich returns to the free-version limits described in section 4. You keep your data and can continue to open, read, edit, back up and restore it.
We may update these terms. If we do, we will change the date at the top of this page, and we will highlight any significant change rather than editing quietly. Continuing to use Mich after a change means you accept the updated terms. Changes do not retroactively alter the license you already bought.
These terms are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Washington State, and both parties consent to that jurisdiction.
If you are a consumer in a country whose law gives you rights that cannot be overridden by agreement, nothing here removes those rights.
If any part of these terms is found unenforceable, the rest stays in force. Our not enforcing a provision is not a waiver of it. You may not assign these terms without our consent; we may assign them in connection with a sale or transfer of the business.
These terms, together with the Privacy Policy and the Refund Policy, are the entire agreement between us about Mich.
